Authorized sales and third-party sellers policy

1. Who we are

Heading Prints is operated by Contemporary Prints LLC. In this policy, “Heading Prints,” “Heading,” “we,” and “our” refer to Contemporary Prints LLC and the Heading Prints brand.

2. Official Heading sales channels

An “Official Heading Sales Channel” is a website, store, marketplace account, or other sales channel that:

1. Is owned or directly controlled by Heading;

2. Identifies Heading or Contemporary Prints LLC as the seller; and

3. Appears on our current list of Official Heading Sales Channels at www.headingprints.com

A third-party platform hosting an Official Heading Sales Channel does not become an authorized reseller, and no other seller using that platform becomes authorized.

If a website, account, store, or listing does not appear on our current Official Heading Sales Channels list, it is not an official Heading sales channel.

3. No authorized third-party sellers

Heading does not currently authorize any third party to act as a Heading reseller, wholesaler, distributor, dealer, marketplace seller, dropshipper, retail partner, franchisee, sales representative, or fulfillment provider.

No person or business is authorized to purchase, advertise, offer, distribute, or sell Heading products commercially on Heading’s behalf or as part of an authorized relationship with Heading.

Authorization cannot be created or inferred from:

• A prior purchase or order confirmation;

• Heading’s acceptance or fulfillment of an order;

• Possession of genuine Heading products;

• Access to a discount or promotional code;

• Participation in an affiliate, creator, referral, gifting, or promotional program;

• Receipt of samples, photographs, descriptions, graphics, or other materials;

• Past communications with Heading;

• Heading’s awareness of a listing or failure to object immediately;

• A link to headingprints.com; or

• Any statement made by someone who lacks written authority to bind Contemporary Prints LLC.

The only valid authorization to resell Heading products is a current written agreement that expressly grants resale rights, identifies the authorized legal entity and approved sales channels, and is signed by an authorized representative of Contemporary Prints LLC. As of the effective date of this policy, no such third-party authorization has been granted.

4. Purchases are not for commercial resale

Products sold directly by Heading are offered for personal use and bona fide gifting—not for commercial resale, redistribution, dropshipping, marketplace fulfillment, or supply to another reseller.

By placing an order through an Official Heading Sales Channel, the purchaser represents and agrees that the products are not being acquired for any prohibited commercial purpose.

Purchasers subject to this policy may not:

• Purchase products with the intent to resell them commercially;

• Supply products to a reseller, distributor, dealer, or marketplace seller;

• Use multiple names, accounts, addresses, payment methods, or intermediaries to evade order limits or resale controls;

• Arrange for Heading to ship products directly to the purchaser’s customer;

• Use Heading products to fulfill orders taken through another website, store, marketplace, or account;

• Remove or alter Heading labels, product identifiers, packaging, or source information for commercial sale; or

• Represent that a direct purchase from Heading creates a wholesale, distribution, dealership, or reseller relationship.

Heading may consider order quantity, ordering frequency, product mix, delivery information, account relationships, prior activity, and other relevant circumstances when determining whether an order appears intended for resale.

5. Independent resale of genuine items

Possession of a genuine Heading product does not make the owner an authorized Heading seller.

A person who lawfully owns a genuine Heading item may have legal rights to resell that particular item. Any such sale is independent of Heading and must not state or imply authorization, sponsorship, endorsement, partnership, dealership, or other affiliation.

An independent seller must not:

• Describe itself as an authorized or official Heading seller;

• State or imply that Heading supplied inventory for resale;

• Use “Heading Prints,” “Heading,” or a confusingly similar term in a store name, seller name, username, domain, social-media handle, profile image, advertising identity, or marketplace account in a way that implies affiliation;

• Use a Heading logo or stylized brand treatment as its own branding;

• Present an unaffiliated listing, storefront, or account as an official Heading destination;

• Make false or misleading statements about a product’s origin, authenticity, condition, composition, age, availability, or relationship to Heading;

• State or imply that Heading will accept returns, provide exchanges, authenticate the item, honor the seller’s promises, or provide customer service for the transaction; or

• Use Heading trademarks more prominently than reasonably necessary to identify a genuine item being resold.

An accurate reference to the Heading Prints name solely to identify a genuine product does not, by itself, establish affiliation or authorization.

6. Heading photographs, copy, and other materials

Purchasing or possessing a Heading product transfers ownership of that physical item only. It does not transfer or license any copyright, trademark, trade dress, design right, or other intellectual-property right.

Unless Heading has provided specific written permission, third parties may not copy, download, scrape, reproduce, modify, distribute, publish, or commercially use Heading-owned materials, including:

• Product and lifestyle photography;

• Videos;

• Product descriptions and other original written copy;

• Logos and brand graphics;

• Website design elements;

• Packaging artwork;

• Promotional materials;

• Original layouts, selections, arrangements, and adaptations; or

• Other content owned or exclusively licensed by Heading.

An affiliate, creator, referral partner, or recipient of promotional materials receives only the limited permissions stated in the applicable written agreement or campaign instructions. Such access does not include resale rights, sublicensing rights, or permission to use Heading materials in a marketplace listing unless expressly stated.

Heading does not grant third-party sellers permission to copy materials from headingprints.com, Heading-controlled social accounts, emails, catalogs, or advertisements. A seller claiming that particular content was supplied through an eBay product catalog or another platform-authorized source must identify that source. Any permission supplied independently by a platform does not make the seller authorized by or affiliated with Heading.

Heading claims intellectual-property rights only to the extent those rights are owned or controlled by Heading. The appearance of historical or public-domain source material in a Heading product does not grant anyone permission to copy Heading’s original photography, writing, branding, packaging, layouts, or protectable original contributions.

7. Counterfeits, reproductions, and altered products

A product is not an authentic Heading product merely because it displays a Heading name, logo, label, photograph, design, or product description.

Products that were not produced or approved by Heading must not be represented as genuine Heading products. Unauthorized reproductions, replicas, imitations, or other products bearing Heading branding may infringe Heading’s rights.

A genuine product that has been materially altered, repackaged, relabeled, combined with other goods, or separated from identifying information must not be represented as new, unaltered, complete, or supplied in its original condition.

Nothing in this policy treats a genuine, unaltered Heading item as counterfeit solely because it is being sold by an unauthorized seller.

8. Returns, customer service, and authenticity

Heading’s published return, exchange, refund, and customer-service policies apply only to qualifying purchases made through Official Heading Sales Channels, except where applicable law requires otherwise.

Heading does not promise to:

• Accept returns from an independent seller or its customer;

• Honor an independent seller’s refund, replacement, warranty, or authenticity promises;

• Verify the history, storage, condition, handling, or authenticity of an item obtained outside an Official Heading Sales Channel; or

• Resolve disputes between an independent seller and its customer.

Buyers who purchase outside an Official Heading Sales Channel do so from an independent seller, not from Heading.

9. Enforcement

When Heading reasonably believes that this policy, an applicable agreement, or Heading’s intellectual-property rights have been violated, Heading may take appropriate action, including:

• Rejecting, limiting, or canceling orders;

• Refunding and declining to fulfill pending orders;

• Restricting future purchases;

• Suspending or terminating customer, affiliate, creator, or promotional accounts;

• Revoking licenses and permissions;

• Requiring removal of Heading materials;

• Preserving listing, transaction, account, and test-purchase evidence;

• Reporting specific intellectual-property or marketplace-policy violations;

• Sending contractual or legal notices; and

• Pursuing other remedies available under an applicable agreement or law.

Heading will identify the actual basis for an infringement report. Unauthorized seller status alone will not be represented as counterfeiting, copyright infringement, or trademark infringement when the available evidence does not support that claim.

A delay or failure to enforce this policy in one instance does not waive Heading’s rights in that or any other instance.

10. Changes and written exceptions

Heading may change its sales channels or appoint authorized third-party sellers in the future. Any such authorization will apply only to the legal entity, accounts, locations, territory, products, and time period stated in a written agreement.

Heading may update this policy prospectively by posting a revised version and effective date. An existing written agreement signed by Heading controls if it expressly conflicts with this public policy.

Questions about whether a seller or channel is authorized should be sent to agent@headingprints.com. Suspected counterfeits, copied content, or false claims of affiliation may also be reported there.

Personal-use purchases; no commercial resale

Products purchased directly from Heading Prints are offered for personal use and bona fide gifting only. By placing an order, the purchaser represents and agrees that the products are not being acquired for commercial resale, redistribution, dropshipping, marketplace fulfillment, or supply to another reseller.

Heading Prints may reject or cancel an order, limit quantities, restrict future purchases, or close a customer account when Heading reasonably believes that an order violates this provision. Purchasing a product does not grant any license to reproduce or commercially use Heading Prints’ names, trademarks, logos, product photographs, written descriptions, graphics, packaging artwork, or other intellectual property.
